學研機構的科研是科技創新的突破前緣,而機構端所建置的技轉面軟硬架構,則是創新突破發揚至產業實用的關鍵樞紐。機構特性與態度對於技轉架構在創新創業的引領上,有著極為深重的影響;今(2017)年恰逢「科學技術基本法」新修,創新體系今後在這一個可以容許較高自由度的法治環境中,主管單位及學術研究機構需要共同投入更多的資源,投注在治理分工架構的建立、執行、學習與深化,才能有效降低在法律鬆綁後由機構端制度面不確定性所帶來的法律風險。

美國自1960起,即開始運用「大學持股」作為技轉交易中的條件選項,對「持股」以及「衍生公司」的管理經驗累計有近半個世紀。近來台灣生醫轉譯領域的交易開始漸漸採用了這類條件模式,今年的科學技術基本法新修之後,這類模式的運用,預期會成為趨勢且採用的領域及頻度會愈見廣泛及升高。

美國史丹佛及柏克萊等大學在技術交易的管理方針制定、管理架構的建立與執行,以及治理理論的演繹,已累積十分深厚的經驗,本次國際會議邀集兩校技轉業務主管與國內重要學者專家一同進行經驗分享,希望經由借鏡於兩校在技轉領域內關鍵議題的管理經驗,尤其是機構端的建置投入經驗,來做為從業者在制度架構擘建或執行時於心態及視角上的參考。

Scientific research performed in academic institutes is at the forefront of innovation breakthroughs, and both tangible and intangible infrastructure in academic institutes pertaining to technology transfer is the critical junction between scientific innovations and industrial applications. However, institutes mindset and attitude to build and manage this infrastructure have a decisive impact on the flow of innovations toward implementations. Our Fundamental Science and Technology Act has just been amended this year, and both governmental authorities and academic/research institutes are situated in a newly formulated legal environment with a higher degree of freedom to implementations. These entities have to accordingly dedicate more resources to establishing a cooperative governance system and to studying the way to optimize and execute this system in order to reduce the legal risks derived from the uncertainty in the institutional managing environment subsequent to the recent removal of legal restrictions.

Since the late 1960, American universities have adopted equity acquisition as the key term in their technology transactions and accumulated profound practical experiences in managing equities and spinoffs. These two modules are also adopted in recent biomedical technology transactions in Taiwan, and it can be expected that such a trend will become the mainstream and will grow quickly, broadly and continually especially after the amendments have been made to the Fundamental Science and Technology Act.

Universities, like Stanford and Berkeley, have long-term experience in making relevant policies, maintaining managerial mechanisms and developing the fundamental rationales; by inviting experts from Stanford, Berkeley and institutes in Taiwan to share their precious observations and experiences especially institutes’ inputs to construct the system, we hope this conference may contribute ideas useful to people as the reference for the system build-up and execution.
